Our lawyers have extensive experience in advising on strategic transactions, partnerships, joint ventures, public and private partnerships, mergers & acquisitions, capital markets transactions, corporate structuring, debt finance and tax structures.

The core of our corporate & commercial transactions cuts across generating comprehensive legal and business advisory, conducting due diligence, regulatory compliance, contract negotiation, drafting, and review, deal/transactions structuring, consultancy, wealth divestment, liquidations, legal documentation, and providing guidance to our clients to help avoid legal pitfalls during the implementation of their business projects.

Transactional Experience:

  • Acted as legal counsel to an Italian oil service giant in connection with some labour and employment-related matters which cut across 5 different jurisdictions, including Nigeria
  • Advised on a global commission scheme for TIBCO bonus/commission global project for employees and contractors, we reviewed the terms and conditions of the scheme as it relates to its acceptability in Nigeria
  • Helped several multinational companies with the registration of their trademarks and patents at the relevant registries in Nigeria and ensured that their brands are adequately protected.
  • Advised Ernst & Young, Germany with regards to the concerns of MAN (“service missions”) relating to delivery, assembling, replacement, maintenance, starting-up of the engines/machines at the customers’ place.
  • Advised a South African Company on the custom requirements of trading in Nigeria, the tax implications, and other ancillary matters. The advisory covered the Prescribed Rights and Obligations of an Exporter and Consignee as it relates to Custom Declarations in Nigeria, the instances where an offshore company can pay for cargo in foreign currency, among others.
  • Currently representing a global talent and business intelligence provider company in a complex employment dispute involving theft and conflict of interest by an employee.
  • Advised several companies such as, Relocation Africa, Nigerian Breweries, among others on corporate immigration matters and handling the filing of monthly returns.
